1. Platform Overview

Splash Social ("the Platform") is an AI-powered social media marketing platform operated by Medvarsity Technologies Pvt. Ltd. ("MTPL", "we", "us"). The Platform generates, reviews, and publishes marketing content for healthcare organizations using artificial intelligence agents.

2. Authorized Use & Representation

By registering for and using the Platform, you represent and warrant that:

• You are authorized to represent the organization, brand, or entity you register on the Platform. You hold a legitimate role (employee, contractor, or authorized agent) within that organization.
• You will not create content for brands, organizations, or entities that you do not have authorization to represent. Creating marketing content under a competing or unauthorized brand name is strictly prohibited and constitutes a violation of these Terms.
• You accept full responsibility for all content generated, reviewed, approved, and published through your account and the entities you manage on the Platform.
• You will not use the Platform for malicious purposes including but not limited to: impersonating another organization, creating misleading or defamatory content about competitors, generating content that violates intellectual property rights, or any activity intended to harm another entity's reputation.

Violation of this section may result in immediate account suspension, data deletion, and potential legal action. MTPL reserves the right to report suspected misuse to relevant authorities.

3. Account & Access

Access to the Platform requires approval by our team. We reserve the right to deny, suspend, or terminate access at our sole discretion. During the access request process, you must provide accurate and truthful information about yourself and your organization. Providing false information to gain access is a violation of these Terms.

4. Pricing, Billing & Platform Fees

Subscription fees are as listed on our Pricing page at the time of purchase. In addition to subscription fees:

• MTPL may charge additional platform fees for third-party API usage, AI model inference, image generation, and other external service costs incurred during content generation.
• The platform fee percentage is subject to change with 30 days' prior notice. Current rates are published on the Pricing page.
• Usage beyond included generation quotas will be billed at prevailing AI token rates plus applicable platform fees.
• All prices are exclusive of applicable taxes (GST, VAT, or other local taxes).

5. Content Ownership & AI-Generated Content

Content generated by the Platform's AI agents is produced for your organization's use. You own the content you approve and publish. However, AI-generated content may not be unique — similar outputs may be produced for other users. MTPL does not guarantee exclusivity of AI-generated content. You are responsible for reviewing and approving all content before publication.

6. Compliance & Regulatory Screening

The Platform includes AI-based compliance screening against healthcare advertising regulations (including MCI, NMC, ASCI, UCPMP, Drugs & Magic Remedies Act). This screening is a support tool and does not replace professional medical-legal review. You remain solely responsible for ensuring all published content complies with applicable laws and regulations in your jurisdiction.

7. Geographic Availability

The Platform is currently designed for Indian healthcare regulations. Compliance frameworks for UAE, KSA, and USA are in development and will be announced separately. Using the Platform to generate content for jurisdictions whose regulations are not yet supported is at your own risk.

8. Data Protection & Privacy

Your use of the Platform is also governed by our Privacy Policy. Brand configurations, creative assets, and content drafts are stored securely and processed in accordance with applicable data protection laws.

9. Prohibited Activities

• Creating content for organizations you are not authorized to represent
• Impersonating healthcare providers, institutions, or regulatory bodies
• Generating content intended to mislead patients or healthcare professionals
• Using the Platform to create content promoting unverified medical claims
• Attempting to circumvent compliance screening or content review processes
• Sharing account credentials or providing unauthorized access to third parties
• Reverse engineering, scraping, or extracting the Platform's AI models or training data

10. Termination

MTPL may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or at our discretion. Upon termination, your access to generated content and platform features will cease. You may request export of your data within 30 days of termination.

11. Limitation of Liability

MTPL shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform, including but not limited to: regulatory penalties from published content, reputational damage from AI-generated content, or business losses from service interruptions. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
